Just Offices Agreement

In consideration of the terms and conditions herein contained, the Subscriber hereby covenants and agrees as follows:

1. SPACE

1.1          The Subscriber shall be provided access to one (1) of the designated fully furnished enclosed offices (each, an “Office Space”) situated on the third (3rd) floor of 20 Toronto Street, Ontario, M5C 2B8 (the “Building”) for the sole purpose of the Permitted Use as defined herein.

1.2          The Subscriber shall be provided with the Office Space for only the permitted use of: general office space pertaining to the offering of legal services (the “Permitted Use”).  The Subscriber covenants and agrees that only the Subscriber and the Subscriber’s direct employees are allowed to enter the 3rd floor of the Building; and under no circumstances shall any of the Subscriber’s clients, nor any other invitees, be permitted to enter into the Office Space or the 3rd floor of the Building.  Only one (1) person may use the Office Space at any time.

1.3          The Subscriber shall also have access to certain common areas facilities located on the third (3rd) floor such as hallways, elevators, and washrooms (the “Common Areas”).

1.4          The Subscriber shall have the option of procuring the following additional services (collectively, the “Additional Services”) pursuant to the terms of Section 4 and at the costs provided for in Schedule “A”:

  1. use of the “Cubicle Space”;
  2. use of the “Conference Room”;
  3. use of the “Member Lounge”;
  4. use of the “Printing Room” and certain print services. 

1.5          The Office Space, Common Areas, Cubicle Space, Conference Room, Member Lounge and Printing Room shall collectively be referred to as the “Space”.

1.6          The Subscriber shall be provided with access to  Wi-Fi connection while using the Space.

2. BOOKING SYSTEM AND FEES

2.1          The Subscriber shall book and prepay for their desired use of an Office Space, and any other Additional Service, through the online booking registration system (the “Booking System”) on a first come first serve basis.

2.2          Upon booking their service, the Booking System will automatically provide the Subscriber with an access code to enter the selected area.

2.3          The available Space, services and corresponding fees for such Space and services are provided for in Schedule “A” attached hereto.  The Subscriber acknowledges and agrees that the fees for the use of any such Space, as set out in Schedule “A” attached hereto, are subject to increase from time to time.

2.4          In the event that the Subscriber cancels their booking at least five (5) business days in advance, the Subscriber will have their account credited back with the corresponding hours or, in the event the booking was not connected to an ongoing subscription package, then the Subscriber will be provided with a full refund. In the event the Subscriber cancels their booking less than five (5) business days in advance, then no credit or refund shall be provided to the Subscriber for the services which are cancelled.

3. THE TERM

3.1          The term of the Agreement shall coincide with the corresponding period paid for in the Booking System (the “Term”). The Subscriber acknowledges and agrees that each use of the Office Space or Cubicle Space shall be for at least two (2) continuous hours.

3.2          Following the expiry of the period paid for in the Booking System, the Subscriber shall no longer have any right to enter the Space.

4. ADDITIONAL SERVICES

                4.1          Any Additional Services listed in Section 4 shall be prepaid through the Booking System and require a simultaneous subscription to an Office Space of an equal or greater period of time.

                4.2          Available services, booking fees, and membership options are provided for in Schedule “A” attached herein.

4.3          Cubicle Space:

  • Each Cubicle Space is situated outside of the Office Space on the third (3rd) floor of the Building.
  • The Cubicle Space shall be used only by a directly employee of the Subscriber.
  • The employee of the Subscriber using the Cubicle Space shall adhere strictly to the Permitted Use.
  • The employee of the Subscriber using the Cubicle Space shall be permitted to use the Common Areas.

4.3          Conference Room:

  • Each Conference Room is located on the second (2nd) floor of the Building.
  • Each Conference Room shall only be available for use during the hours of 9:00am to 5:00pm, Monday to Friday, excluding holidays, unless special arrangements are made.
  • Clients, non-members, non-lawyers and other associates of the Subscriber shall be permitted access to the Conference Room for the duration of the booking and subject to capacity limits.
  • The use of a Conference Room includes coffee and snack basket (the contents of which shall be at the OBA’s sole discretion).
  • The Subscriber is prohibited from bringing any person into the second (2nd) floor of the Building (including without limitation, any Conference Room) that it suspects, knows or should have known to be dangerous or violent, including but not limited to, if any such person has a history of dangerous or violent behavior or is currently standing accused of any dangerous or violent act.

4.4          Member Lounge:

  • The Member Lounge is located on the third (3rd) floor of the Building.
  • The Subscriber shall be permitted use of the Member Lounge between the hours of 9:00am and 5:00pm.
  • The Subscriber is prohibited from allowing anyone other than the Subscriber to access the Member Lounge.

4.5          Printing Room:

  • The Printing Room is located on the third (3rd) floor of the Building.
  • The Subscriber shall have the ability to purchase printing services at the rates outlined in Schedule “A” attached herein.

5. RULES OF CONDUCT

AS A SUBSCRIBER, YOU WILL NOT:

  1.  Disturb other subscribers or employees of the OBA or any other person entering or using the Building.
  2. Mistreat/abuse common and shared areas, including but not limited to the Common Areas, the Member Lounge, the Conference Room and the Printing Room.
  3. Lend keys, fobs or give access codes to anyone.
  4. Allow a non-subscriber to use any of the Space, except the Conference Room as permitted herein.
  5. Place permanent signs or lettering anywhere in or on the Space and/or Building or place any signs, whether permanent or temporary, that may damage the Space and/or Building.
  6. Keep any flammable or hazardous substances in the Space.
  7. Spam, post or download files that you know or should know are illegal or to which you have no rights; access any other device connected to the OBA network or the Internet that you do not have permission to access; or use the Space or Building in any manner that could damage, disable, overburden, or impair any OBA server, or the network(s) connected to any OBA server, or interfere with any other party’s use and enjoyment of any services, the Space or the Building. The Subscriber shall not attempt to gain unauthorized access to any services or the premises, or accounts, computer systems or networks connected to any OBA server or to any of the services, through hacking, password mining or any other means. The Subscriber may not obtain or attempt to obtain any materials or information through any means not intentionally made available through any services.
  8. Use any services in connection with contests, pyramid schemes, chain letters, junk email, spamming, or any duplicative or unsolicited message (commercial or otherwise).
  9. Use the Space for any purpose that contravenes any rule or by-law set out by the Law Society of Ontario.
  10. Use the Space for any purpose that would otherwise be deemed as behavior unbecoming of a barrister. solicitor or paralegal or would otherwise bring the administration of justice into disrepute.
  11. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others while in the Space or Building.
  12. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through the OBA’s servers.
  13. Use any material or information, including images or photographs, which are made available through the OBA in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
  14. Upload files that contain viruses, trojan horsesw Worms, time bombs, candlebots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another. All laptops or computers or any other hardware that has access to the OBA’s servers must have antivirus software installed.
  15. Restrict or inhibit any other subscriber from using and enjoying the Space and/or Building.
  16. Violate any code of conduct or other guidelines which may be applicable for any particular service.
  17. Harvest or otherwise collect information about any others, including email addresses, without the authorization or consent of the disclosing party.
  18. Violate any applicable laws or regulations.
  19. Use the Space or Building address as a business or personal address to receive mail. The Subscriber acknowledges and agrees that it will not use the address of Office Space or the Building to receive mail nor accept service of any materials whatsoever.
  20. The whole of the Space remains in the OBA’s possession and control. THE SUBCRIBER ACCEPTS THAT THIS AGREEMENT CREATES NO SUBSCRIBER INTEREST, LEASEHOLD ESTATE OR OTHER REAL PROPERTY INTEREST IN THE SUBSCRIBER’S FAVOUR WITH RESPECT TO THE SPACE. The OBA is giving the Subscriber the right to share with the OBA the use of the Space and it being agreed that the above-mentioned Space cannot, without the OBA’s consent, be used by any other subscriber or other person throughout the Term. This agreement is personal to the Subscriber and cannot be transferred to anyone else.
  21. The Subscriber must comply with any rules and regulations which the OBA imposes generally on users of the Space and any rules the landlord may impose on the Building. The rules and regulations can be changed at any time without prior notice to the Subscriber.
  22. To the maximum extent permitted by applicable law, the OBA may put an end to this agreement immediately by giving the Subscriber notice and without need to follow any additional procedures if (a) the Subscriber fails to pay any amount owing under this Agreement, or (b) the Subscriber is in breach of one of its obligations which cannot be remedied or which the OBA have given the Subscriber notice to remedy and which the Subscriber has failed to immediately remedy upon receipt of that notice, or (c) its conduct, or that of its agent or invitees is unreasonably incompatible with the Permitted Use or unreasonably disrupts any other subscriber or attendee of the Building. If the OBA terminates this Agreement for any of these reasons it will not relieve any outstanding obligations of the Subscriber, including any fees, Additional Services used, and the fee for the remainder of the period for which this Agreement would have lasted had the OBA not terminated it.
  23. When this Agreement terminates the Subscriber shall vacate the Space immediately leaving the used Space in the same condition it was upon the Subscriber’s original occupancy. Upon the Subscriber’s departure, if necessary, the OBA may charge to the Subscriber a fee to cover normal cleaning and to return the Space to its original state. The OBA reserves the right to charge additional reasonable fees for any repairs needed above and beyond normal wear and tear. If the Subscriber leaves any property in the Building, the OBA may dispose of it at the Subscriber’s cost in any way the OBA chooses without any responsibility for it or any proceeds of sale. In the event the Subscriber vacates the Space and the OBA receives the Subscriber’s visitors, clients, phone calls, and/or mail, the OBA may charge a one-time business continuity service fee. If the Subscriber continues to use the Space when this Agreement has ended the OBA shall be entitled to charge additional fees to the Subscriber and the Subscriber shall be responsible for any loss, claim or liability the OBA incurs as a result of the Subscriber’s failure to vacate on time.
  24. The terms of this agreement are confidential. Neither the OBA nor the Subscriber may disclose them without the other’s consent unless required to do so by law or an official authority. This obligation continues after this Agreement ends.

6. TERMS AND CONDITIONS

  1. This Agreement is interpreted and enforced in accordance with the laws of the Province of Ontario. The OBA and the Subscriber both accept the exclusive jurisdiction of the courts of the Province of Ontario. If any provision of these terms and conditions are held void or enforceable under the applicable law, the other provisions shall remain in force.
  2. The Subscriber shall observe and comply with all federal, provincial or municipal laws, by-laws, codes, regulations and requirements of all authorities having jurisdiction pertaining to or affecting the Space, the Subscriber’s use of the Space or the conduct of any business in the Space.
  3. Failure by the Subscriber to observe and comply with all such laws, by-laws, codes, regulations and requirements of all authorities having jurisdiction shall constitute a default of this Subscription Agreement. Any costs, penalties, damages, legal costs, consulting and professional services fees or any other costs incurred by the OBA in relation to the Subscriber’s failure to observe and comply with all such laws, by-laws, codes, regulations and requirements of all authorities having jurisdiction (for example, without limitation, any and all penalties assessed against the OBA or any landlord by the fire department due to the Subscriber or any visitor of the Subscriber’s non-compliance with fire regulations; or such costs incurred by the OBA or any landlord to remedy any damage caused by the Subscriber or any visitor of the Subscriber’s failure to observe and comply with this Subscription shall be paid by the Subscription on demand together with an administrative fee of fifteen percent (15%) of such costs, at the option of the OBA
  4. The Subscriber shall only use the Space to carry out the Permitted Use and for no other use, and shall ensure the Space is booked and prepaid for on the Booking System. No area on the third floor of the Building, including but not limited to the Office Space, shall be accessed by the Subscriber’s visitors or clients.  
  5. The Subscriber covenants that it will not operate, cause or permit to be operated in or from the Space any business or service not providing legal services.
  6. The Office Space and Cubicle Space are only available for use during the hours of 8:00am to 8:00pm Monday to Friday, holidays excluded. The Conference Room shall only be available for use between the hours of 9:00am to 5:00pm Monday to Friday, holidays excluded. All other areas and services offered in this agreement shall be made available at the discretion of the OBA. If the OBA, acting reasonably, decides that a request for any particular service is excessive, it reserves the right to charge an additional fee
  7. THE OBA DOES NOT MAKE ANY REPRESENTATIONS AS TO THE SECURITY OF THE OBA’S NETWORK (OR THE INTERNET) OR OF ANY INFORMATION THAT THE SUBSCRIBER PLACES ON IT. The Subscriber should adopt whatever security measures (such as encryption) it believes are appropriate to its circumstances. The OBA cannot guarantee that a particular degree of availability will be attained in connection with the Subscriber’s use of The OBA’s network (or the internet).
  8. The Subscriber may only use the Space if they are a licensed legal practitioner in the Province of Ontario in good standing with the Law Society of Ontario. 
  9. Should the Subscriber require any of the Additional Services as provided for in Section 1.4 and Schedule “A”, the Subscriber shall book the required service using the Booking System at the rate set out in Schedule “A”. The Subscriber shall not have any benefits of the Additional Services until such service is registered and paid for beforehand on the Booking System. The rates set out in Schedule “A” are subject to increase at the OBA’s discretion.
  10. There shall be no mail service to or from the Space.
  11. The OBA reserves the right to enter the Subscriber’s Space at any time. However, unless there is an emergency, the OBA will attempt to notify the Subscriber verbally or electronically in advance when the OBA needs access to carry out testing, repair or works other than routine inspection, cleaning and maintenance. The OBA will also respect reasonable security procedures to protect the confidentiality of the Subscriber’s business and the Subscriber’s client.
  12. The Subscriber must not alter any part of the Space and must take good care of all parts of the Space, its equipment, fixtures, fittings and furnishings which the Subscriber uses. The Subscriber is liable for any damage caused by it or those in the Space with the Subscriber’s permission or at the Subscriber’s invitation whether express or implied, including but not limited to all employees, contractors, agents, clients or other persons present on the premises.
  13. The Subscriber must not install any equipment, cabling, IT or telecom connections without the OBA’s consent, which the OBA may refuse at its absolute discretion. As a condition to the OBA’s consent, the Subscriber must permit the OBA to oversee any installations (for example IT or electrical systems) or equipment and to verify that such installations or equipment do not interfere with the use of the Space by other Subscribers or the OBA or any landlord of the building.
  14. It is the Subscriber’s responsibility to arrange insurance, if necessary, for its own property which it brings into the Space and for its own liability to its clients and to third parties.
  15. The Subscriber attests that it is currently insured by the Lawyer’s Professional Indemnity Company (LAWPRO) and is in good standing with the requirements set out by such coverage.
  16. Any person brought into the Conference Room as a client, guest or visitor of the Subscriber shall be the sole responsibility of the Subscriber. The Subscriber is prohibited from bringing any person into the second (2nd) floor of the Building (including without limitation, any Conference Room) that it suspects, knows or should have known to be dangerous or violent, including but not limited to, if any such person has a history of dangerous or violent behavior or is currently standing accused of any dangerous or violent act.  Should any client, guest or visitor become dangerous or violent while in the confines of the 2nd floor of the Building or within a Conference Room, the Subscriber is required to immediately notify local law enforcement, including but not limited to notifying the Building’s security.
  17. Only the Subscriber shall be permitted to enter on to the third floor of the Building, including but not limited to the Office Space, the Cubicle Space, the Member Lounge, and the Printing Room. 
  18. Each individual Office Space shall be locked and only accessible using the code provided by the Booking System. Each Office Space shall be fully furnished as an office, including desk, lockable drawer, lighting and seating and for the use of only one (1) subscriber at a time. The Subscriber is permitted to leave their valuables and personal belongings in the Office Space for the duration of their booking, however the OBA is released from any and all liability for any such item left unattended. The Subscriber acknowledges that the OBA has no responsibility for items left in the Office Space and agrees that any item left unattended is done so at the Subscriber’s own risk.
  19. There is no receptionist or reception area on the third floor of the Building for the Subscriber’s use.
  20. The Subscriber acknowledges that the third floor of the Building shall be shared with the OBA, and that the Subscriber is prohibited from entering the OBA’s area and that the access code shall not provide access to such area.
  21. The Subscriber must comply with all relevant laws and regulations in the conduct of its business and in the conduct of a practicing lawyer in the Province of Ontario. The Subscriber must do nothing illegal in connection with its use of the Space. The Subscriber must not do anything that may unreasonably interfere with the use of the Space by the OBA or by others, cause any nuisance or annoyance, increase the insurance premiums the OBA has to pay, or cause loss or damage to the OBA (including damage to reputation) or to the owner of any interest in the Building which contains the Space the Subscriber is using. The Subscriber acknowledges that (a) the terms of the foregoing sentence are a material inducement in the OBA’s execution of this Subscription Agreement and (b) any violation by the Subscriber of the foregoing sentence shall constitute a material default by the Subscriber hereunder, entitling the OBA to terminate this agreement, without further notice or procedure.
  22. To the maximum extent permitted by applicable law; the OBA is not liable to the Subscriber in respect of any loss or damage the Subscriber suffers in connection with this Agreement, with the services or with the Subscriber’s Space unless the OBA has acted deliberately or grossly negligent in causing that loss or damage. The OBA is not liable for any loss as a result of the OBA’s failure to provide a service as a result of mechanical breakdown, electrical breakdown, strike, termination of the OBA’s interest in the Building and/or the Space or otherwise.
  23. THE OBA WILL NOT IN ANY CIRCUMSTANCES HAVE ANY LIABILITY FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF ANTICIPATED SAVINGS, LOSS OF OR DAMAGE TO DATA, INJURY TO THE SUBSCRIBER OR ITS AGENTS, CLIENTS OR INVITEES, THIRD PARTY CLAIMS, OR ANY CONSEQUENTIAL LOSS.  IF REASONABLY REQUIRED BY THE OBA, THE SUBSCRIBER SHALL INSURE AGAINST ALL SUCH POTENTIAL LOSS, DAMAGE, EXPENSE OR LIABILITY AND SHALL PROVIDE THE OBA WITH A COPY OF SUCH INSURANCE POLICY WITH NOT LESS THAN $2,000,000.00 (TWO MILLION) OF DAMAGES PER OCCURRENCE AND NAMES THE ONTARIO BAR ASSOCIATION AS CO-INSURER.
  24. All fees shall be paid beforehand through the Booking System. In the event the Subscriber enters into the Space prior to making a payment, in addition to its other rights herein, the OBA reserves the right to charge an additional fee to be added on top of the regular service fee. If the Subscriber disputes any part of a charge the Subscriber must immediately pay the amount not in dispute and provide the OBA written notice of the amount in dispute. The OBA also reserves the right to withhold services (including for the avoidance of doubt, denying the Subscriber access to the Space) while there are any outstanding fees and/or interest or the Subscriber is in breach of this agreement.
  25. Fees for any Additional Services shall be in addition to the fees for the Office Space and paid beforehand on the Booking System. Additional Service must be booked for periods of time that coincide with the booking of the Office Space. For clarity, the time in which the Additional Services are used must coincide and be used at the same time as the Office Space.  
  26. The Subscriber releases the OBA from any and all claims, demands, suits and judgments which the Subscriber might have or acquire in connection with this Subscription Agreement and its use and occupation of the Space or the Building, including, without limitation, any claims arising from personal injury or damage, loss or theft of property regardless of how it arises or is caused and the Subscriber indemnifies and saves harmless the OBA, its successors, assigns, directors, officers and employees and each of them from and against any and all claims, demands, suits, judgments, loss, cost or expense arising from or connected with this Subscription Agreement, the Space’s use or occupation or the Building or occasioned wholly or in part by any act or omission by the OBA, its agents, contractors, employees, servants, licensees, concessionaires, invitees or licensees, including, without limitation, any claims arising from personal injury or damage, loss or theft of property regardless of how it arises or is caused. This indemnity shall survive the termination of this Subscription Agreement.
  27. The Subscriber shall, indemnify and hold harmless the OBA from all costs, liabilities, claims, damages or expenses due to or arising out of the use of the Space and/or Building or any work done by or act, neglect or omission of the Subscriber or its clients, employees, agents, patrons, or invitees in and about the Space or Building, or due to or arising out of any breach by the Subscriber of any provision of this Subscription Agreement or in connection with loss of life, personal injury or damage to property arising from or out of the occupancy or use by the Subscriber or any of its clients, employees, agents, patrons, or invitees, of the Space or any part thereof or any other part of the OBA, the Building or any landlord’s property.
  28. The Subscriber shall not assign or transfer this Subscription, its hours or its membership to any other individual, whether a member or not.
  29. The OBA reserves the right to increase the fees set out in Schedule “A”.
  30. The Common Areas shall at all times be subject to the exclusive control and management of the OBA. The OBA shall have the right, but shall not be obliged from time to time to establish, modify and enforce reasonable rules and regulations with respect to the Common Areas and such rules and regulations shall in all respects be observed and performed by Subscriber and the visitors, patrons, clients and employees of the Subscriber.
  31. The Subscriber shall not be provided with any parking space.
  32. If and whenever, the Subscriber is in breach or default of any part of this Subscription Agreement then the OBA may without notice or any form of legal process whatsoever forthwith re-enter upon the Space or any part thereof in the name of the whole and repossess the Space, provided that forfeiture shall be wholly without prejudice to the rights of the OBA to recover damages for any default by the Subscriber.
  33. In the event that the OBA shall be delayed or hindered in or prevented from the performance of any act required of the OBA hereunder, by reason of strikes, civil commotion, lock-outs, labour troubles, inability to procure materials, labour or service, acts of God, weather, failure of power, restrictive governmental laws or regulations, riots, insurrection, war or any reason whether or not of the foregoing nature beyond the reasonable control of the OBA, then performance of such act shall be excused for the period of the delay and the period for the performance of any such act shall be extended for a period equivalent to the period of such delay.
  34. Nothing contained herein shall be deemed or construed by the parties hereto, nor by any third party, as creating the relationship of principal and agent or of partnership or of joint venture between the parties hereto, it being understood and agreed that neither the method of computation of rent nor any other provision contained herein, nor any acts of the parties shall create any relationship between the parties other than that of service provider and user.
  35. The sidewalks, entries, passages, elevators and staircases shall not be obstructed or used by the Subscriber, its agents, visitors, invitees, clients or employees for any purpose other than ingress to and egress from the Space. The OBA reserves entire control of all parts of the Building employed for the common benefit of the subscribers and without restricting the generality of the foregoing, the sidewalks, entries, corridors and passages not within the Space, washrooms, lavatories, air conditioning closets, fan rooms, janitor’s closets, electrical closets and other closets, stairs, elevator shafts, flues, stacks, pipe shafts and ducts and shall have the right to place such signs and appliances therein as it may be deem advisable, provided that ingress to and egress from the Space is not unduly impaired thereby.
  36. The Subscriber, its agents, clients, visitors, invitees or employees, shall not bring in or take out, position, construct, install or move any equipment which has not been approved by the OBA.
  37. No one shall use the Space, including but not limited to the Office Space, for sleeping apartments or residential purposes, or for the storage of personal effects or articles other than those required for business purposes.
  38. Canvassing, soliciting and peddling in the Space or the Building are strictly prohibited.
  39. No animals or birds shall be brought into the Space or Building without the express written consent of the OBA.
  40.  All garbage and refuse shall be kept and disposed of in the manner specified by the OBA at the end of each day.

7. ENTIRE AGREEMENT

7.1          This Subscription Agreement, including the rules, the terms and conditions and all Schedules, shall constitute the entire understanding between the parties with respect to the subject matter hereof and shall supersede all previous commitments, understandings and agreements.

I hereby acknowledge that I have read and understood all the terms and conditions contained in this Agreement and agree to be bound to them and the rules and terms and conditions regarding my participation in and use of the Space as the Subscriber. The execution and signature below shall act as acceptance of this Agreement and bind the Subscriber to the terms and conditions set out above.
