Idan Erez is a commercial litigator with Hoffer Adler LLP. His practice includes a strong emphasis on franchising and involves acting for both franchisors and franchisees across a wide range of industries. Idan is called to the bar in Ontario as well as the State of Georgia. He has appeared successfully in the Ontario Superior Court and Divisional Court as well as in the Superior Court of British Columbia and the Alberta Court of Queen’s Bench. Biography
Ashley Caldwell is a lawyer at McKenzie Lake Lawyers and she practices in the firm’s corporate and commercial law division, with a focus on franchising, licensing and distribution. Ashley is counsel to both franchisors and franchisees and is experienced in the review and negotiation of franchise agreements, the purchase and sale of franchised businesses, compliance with provincial franchise legislation, and the resolution of franchise disputes. In addition to her franchise practice, Ashley advises on a variety of corporate commercial matters, including share and asset acquisitions and divestitures, corporate reorganizations, shareholder agreements, commercial leases and other commercial contracts. Ashley received her Bachelor of Arts Honours degree from Queen’s University, where she majored in Sociology. She subsequently obtained her Juris Doctor from the University of Windsor and was called to the Bar in 2018. Amy Delisle is the Managing Partner at Keyser Mason Ball, LLP, a member of the firm’s Corporate/Commercial Group and leads the firm’s Franchising, Retail & Distribution Group. She regularly advises a range of corporate clients, including local start-ups, family owned businesses and national corporations on all aspects of business law, with an emphasis on franchise systems for both franchisees and franchisors. Amy’s corporate/commercial practice involves mergers and acquisitions, the preparation, negotiation and review of commercial contracts, and shareholder and partnership advice. She also advises businesses with an online presence on website terms and conditions and privacy issues. In the area of franchising, Amy has extensive experience in developing and implementing strategies that support the business and financial objectives of franchisors and franchisees. She brings expertise to assisting clients in all aspects of their business, including: franchise structuring and development; review, negotiation and compliance with disclosure requirements; drafting franchise agreements; advising foreign franchisors on operating in Ontario; implementing business structures; and negotiating and documenting the purchase and sale of franchised businesses. Amy frequently speaks at seminars and legal conferences on franchise law issues. She is a member of the Canadian Franchise Association (CFA) and also sits on its Franchise Support Services/Supplier Committee. I graduated from McGill University with a B. A. with honours in political science in 1971 and then Graduated from McGill University with LLB. in 1974 and was called to the Bar in Ontario in 1976.
In the late 1970’s I taught a basic law course at Algonquin College and produced the booklet "Starting Your Own Business". I was one of the instructors for the commercial law section of the Bar Admissions Course for the Law Society of Upper Canada in Ottawa from 1998- 2005.
I an active member of S.T.E.P. (Society of Trust and Estate Practitioners) (Canada) and a past chair of the Ottawa branch and a former member of the national board of directors. I served as the programming chair before becoming Chair of the Branch.
I hold the designation of TEP.
I sat for several years on the Board of Advisors of the National Capital American Chamber of Commerce Chapter.
I received my Certified Specialist designation in Corporate and Commercial Law in October 2004 from the Law Society of Upper Canada. I am a member of the executive of both the Business Law and Franchise Law sections of the OBA. I served as Chair of the Business Law Section. I previously sat on both the ethics and anti-corruption committees of the CBA. My practice is restricted to corporate and commercial and estate and tax planning-related matters.
