In-house Counsel

UGE develops, owns, and operates community and commercial solar and energy storage projects in the United States. With over a decade of experience in the industry, we are on the front lines, working to accelerate the transition to clean, reliable energy.
Our team is growing quickly, and we seek a talented and motivated individual to join our team to manage our legal and regulatory requirements.
In this position, this individual will serve as UGE’s in house legal and regulatory expert, coordinating external counsel as required and interacting with all functions across the organization. This encompasses: reviewing all contracts prior to execution; establishing and revising standard company contracts; ensuring regulatory filings are completed on time; addressing any litigation that may arise, and; acting as corporate secretary for all of the entities in UGE’s growing corporate structure.
Responsibilities

Corporate Secretarial responsibilities (Minute books, resolutions, corporate (i.e. exchange) & commercial (i.e. lease memos/easement) filings

Contract review, negotiation, and administration (Leases, PPAs, EPC, subcontracts, financing, M&A)
Qualifications

Renewable industry experience

Understanding of contract law in the United States

Knowledge in the areas of construction, financing (incl. tax equity), and M&A beneficial
