Our client, a global engineering consulting firm, is looking to add a Commercial Contracts Manager to their Corporate Legal Services team.   

Reporting to the Director of Commercial Contracts, you will be responsible for providing support to the company’s Digital Business team from inception of an opportunity to completion thereof. You will contribute to sales strategies and provide support to the sales team in pursuit of global client engagements.

In this role you will be responsible for: 

  • Developing client and project commercial and contracting strategies including:  review, evaluation and assessment of potential commercial risks with the project
  • Preparing and presenting risk reviews, evaluations, and assessments for projects
  • Participating in the business planning sessions, marketing and relevant strategy meetings and workshops
  • Developing contracting strategies that support new/existing product development
  • Defining the commercial agreement structures with clients and partners to execute the defined strategies.
  • Preparing, drafting, reviewing, negotiating and administrating a wide range of documents including:  NDAs, Proposals, MOUs, and LOIs, contracts, fixed price/lump sum based contracts, fee and expense reimbursable contracts, turnkey EPC contracts, EPCM contracts, master services agreements and master supply agreements, JV and sales coordination agreements, consortium/collaboration agreements, managed services agreements, confidentiality agreements, technology licensing agreements, and industrial equipment leasing agreements
  • Facilitating the digital practice’s new product development commercialization requirements including developing new products, solutions, and/or service offerings and creating and preparing bespoke contract templates.
  • Ensuring potential transactions and agreements comply with corporate mandates and policies and client requirements
  • Conducting contract reviews with project, operations, and engineering teams to ensure contract deliverables compliance
  • Delivering and executing the commercial contract requirements

You are the ideal candidate if you are/have:

  • Degree in Commerce or a legal related field, Computer Science, or equivalent
  • 7+ years (more experience welcomed!) of commercial, procurement and/or contractual management experience, preferably in the provision of digital services/products and related engineering fields, for applications in mining and metals, energy, and infrastructure
  • Strong business acumen with an understanding of the link between business needs and IT operations
  • Strong understanding of the sale and implementation of digital consulting services, customized/standalone digital products, IT infrastructure, and cloud-based SaaS digital solutions
  • Knowledge and/or experience with cybersecurity and potential ramifications in contracting and on project execution
  • Experience with crafting product collaboration and / or development agreements with technology partners.
  • Experience with crafting channel marketing and channel sales agreements with market engagement partners
  • Strong understanding of new and existing product development cycles and how commercial strategy definition fits within them including defining initial contractual agreements to support them
  • Strong understanding of contracts and the principles of drafting commercial and/or contractual documents
  • Strong understanding of private and public procurement protocols and practices, incoterms, and financial instruments to support commercial transactions
  • Strong understanding of technology development and technology commercialization.
  • Negotiation experience (sales side) on contractual and commercial/pricing terms.
  • Excellent communication, presentation and interpersonal skills, strong business acumen and leadership potential.
  • Dynamic team player and effective team leadership skills with high level of accountability.
