Role of the Executive and Table Officers

Executive Committee

The Executive Committee advises and assists the President and between meetings of Council has the powers of Council, except the power to pass by-laws. The Executive provides a report on the Association’s activities at each Council meeting. It may, where necessary, establish or disband Special Committees, set the terms of reference and appoint the Chair and members. It is the duty of the Executive Committee to keep informed on all issues affecting the Branch including legislation and direct study of such issues by the appropriate Section or Committee. The Executive Committee is to ensure that results and recommendations from the studies or reports are communicated to the appropriate governmental office or agency. The Executive Committee meets monthly.

Staff support, in addition to the Executive Director, is given by Directors of Professional Development; Technology; Advocacy, Government Relations and Communications; Membership; Conference Centre; and Finance.

Table Officers

The Table Officers (President, Vice-President, Past President, Treasurer, Secretary and Chair of Professional Development) also meet monthly by conference call to deal with matters arising between Executive meetings. They act as a Board of Directors.

President

The President is the chief executive officer of the Branch and shall preside at all meetings of the Branch, Council, and the Executive Committee. The President shall submit a written report on the work of the Branch at the Annual Meeting of the Branch. The President shall assist the president of the Association in carrying on the administration of the Association within the Province. The President shall have the same rights and perform the same duties as the president of the Association regarding provincial matters.

Vice-President

The Vice-President is the President-elect, shall assist the President in carrying on the administration of the Branch, and in the absence of the President, shall preside at meetings and exercise the rights and perform the duties of the President. The Vice-President shall be responsible for the activities and progress of the work of Committees.

Treasurer

The Treasurer is the Branch’s chief financial officer and shall be responsible for OBA’s financial affairs. The term of office is two years.

Secretary

The Secretary shall be responsible for the maintenance of minutes of all meetings of the Branch, Council and the Executive Committee and shall perform any other duties the President may assign.

Chair, Professional Development

The Chair of Professional Development is responsible for all aspects of the Professional Development activities. This includes, but is not limited to, the activities of Sections and the delivery of CLE. The Chair of Professional Development shall be the chair of the CLE Curriculum Committee.

Immediate Past President

The Immediate Past President advises and assists the President and may be responsible for such special projects as may be delegated by the President.

Executives-at-Large

Executives-at-Large round out the Executive and take on special tasks and areas of responsibility given them by the President or Executive. Some recent special assignments have included chairing Task Forces on CLE, Lawyer Safety and ethics and professionalism.
